DogRouter Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and LIGHTING TECH PTE. LTD., a Singapore exempt private company limited by shares with UEN 202507600H and registered office at 60 PAYA LEBAR ROAD, #12-03, PAYA LEBAR SQUARE, SINGAPORE 409051 (“DogRouter,” “we,” “us,” or “our”), governing your access to and use of the website located at dogrouter.ai, the DogRouter application programming interface (“API”), and all related dashboards, documentation, and services (collectively, the “Service”).

BY CREATING AN ACCOUNT, ACCESSING THE API, OR OTHERWISE USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICE.

1. The Service

LIGHTING TECH PTE. LTD. operates and provides the Service under the DogRouter name. DogRouter is a unified gateway that allows Users to access, compare, and route requests to large language models and other generative artificial intelligence models (“Models”) made available by third-party model providers, including but not limited to OpenAI, Anthropic, Google, and other providers as listed from time to time on the Service (“Model Providers”). DogRouter does not develop or train the Models. DogRouter acts solely as an intermediary that transmits Your Content (as defined below) to the Model Provider you select, receives the resulting output, and returns it to you, together with related functionality such as usage metering, billing, fallback routing, and analytics.

DogRouter may add, remove, or modify the list of available Models or Model Providers at any time, including in response to a Model Provider’s discontinuation of a model, change in pricing, or change in terms.

2. Eligibility and Accounts

2.1 You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. The Service is not directed to, and DogRouter does not knowingly collect personal data from, individuals under 18.

2.2 You must register for an account to access most features of the Service. You agree to provide accurate, current, and complete information and to keep such information up to date.

2.3 If you create an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and “you” will refer to that organization.

2.4 You are responsible for all activity that occurs under your account and API keys. You must notify DogRouter promptly of any unauthorized use of your account or any other breach of security.

3. API Keys and Security

3.1 DogRouter will issue one or more API keys to authenticate your requests. You are solely responsible for safeguarding your API keys and must not share them with unauthorized third parties.

3.2 You are responsible for all usage and charges incurred through your API keys, whether or not authorized by you, except to the extent caused by DogRouter’s gross negligence or willful misconduct.

3.3 DogRouter may suspend or rotate an API key at any time if it reasonably suspects compromise, abuse, or a violation of these Terms.

4. Fees, Credits, and Payment

4.1 Pricing. Access to Models through the Service is billed on a usage basis, calculated by reference to the volume of input and output tokens (or equivalent units) processed, at the rates published on the Service from time to time (“Rates”). Rates may include a service margin over the underlying Model Provider’s list price. DogRouter may change Rates prospectively by posting updated Rates on the Service.

4.2 Credits. You must maintain a sufficient prepaid credit balance (“Credits”) or a valid payment method on file to use the Service. Credits are deducted from your balance as usage occurs. Credits are non-transferable and have no value outside the Service.

4.3 Refunds. Except as required by applicable law, Credits and fees paid are non-refundable, including where your account is suspended or terminated for breach of these Terms.

4.4 Taxes. Rates are exclusive of applicable taxes, levies, or duties, which you are responsible for, excluding taxes based on DogRouter’s net income.

4.5 Payment Processing. Payments are processed by third-party payment processors. DogRouter does not store full payment card numbers and is not responsible for the acts or omissions of payment processors.

5. Acceptable Use Policy

5.1 You agree not to use the Service to create, upload, transmit, or generate any content that:

(a) is, or facilitates the creation of, child sexual abuse material or any content that sexualizes minors in any way;

(b) infringes the intellectual property, privacy, or publicity rights of any third party;

(c) is defamatory, harassing, or constitutes targeted abuse of an individual;

(d) facilitates the development of weapons, including chemical, biological, radiological, nuclear, or explosive weapons, or malicious code, malware, or attacks on computer systems;

(e) violates export control, sanctions, or anti-money-laundering laws;

(f) impersonates any person or entity, or misrepresents AI-generated content as having been created by a human, where such misrepresentation would mislead a reasonable recipient or violate applicable law;

(g) creates, uploads, transmits, or generates (i) intimate or sexually explicit imagery of an identifiable individual without that individual's express consent; (ii) sexually explicit deepfake or synthetic content that depicts or purports to depict an identifiable real person; or (iii) pornographic or sexually explicit content depicting an identifiable real person, whether real, altered, or generated;

(h) is used to train, fine-tune, or develop a competing foundation model using Output obtained through the Service, except where the applicable Model Provider's terms expressly permit this; or

(i) otherwise violates applicable law or the acceptable use policy of the relevant Model Provider, as published by that Model Provider and incorporated by reference.

5.2 You agree not to (a) reverse engineer, decompile, or attempt to extract the underlying weights or training data of any Model; (b) circumvent rate limits, usage caps, or access controls; (c) resell or sublicense access to the Service to third parties without DogRouter’s prior written consent and, where applicable, a signed reseller agreement; or (d) use automated means to scrape or extract data from the Service other than through the documented API.

5.3 DogRouter may, without liability, remove Content, suspend API keys, or terminate accounts that it reasonably believes violate this Section 5, and may report apparent violations involving child sexual abuse material to the relevant law enforcement authorities or hotlines without prior notice to you.

6. Third-Party Models; No Warranty on Output

6.1 Pass-Through Service. DogRouter does not control, and makes no representation regarding, the training data, behavior, accuracy, completeness, safety, or output of any Model. Output is generated by the applicable Model Provider’s Model and is provided to you “as is.”

6.2 No Endorsement. Listing of a Model Provider or Model on the Service does not constitute an endorsement, warranty, or guarantee of suitability for any purpose.

6.3 Accuracy. Output may be inaccurate, incomplete, biased, or offensive, and may include “hallucinated” facts. You are solely responsible for independently verifying the accuracy and appropriateness of any Output before relying on it, publishing it, or using it in any decision-making process, particularly in regulated, medical, legal, financial, or safety-critical contexts.

6.4 Labeling. Where you make Output available to third parties, you are responsible for complying with applicable laws and regulations requiring disclosure or labeling of AI-generated content (including, where applicable, embedding or preserving content-provenance metadata such as C2PA credentials), and DogRouter’s pass-through of such metadata, where technically supported by a given Model Provider, does not relieve you of this responsibility.

6.5 Provider Terms. Your use of certain Models may be subject to additional terms imposed by the relevant Model Provider, which DogRouter will use reasonable efforts to make available or reference. You agree to comply with those terms as a condition of using the relevant Model.

7. Your Content and Output

7.1 “Your Content” means any input, prompt, file, or data you submit to the Service. “Output” means the content returned by a Model in response to Your Content.

7.2 As between you and DogRouter, you retain all rights you held in Your Content. You grant DogRouter a worldwide, non-exclusive, royalty-free license to use, copy, transmit, and process Your Content solely to provide, maintain, secure, and improve the Service, and to comply with law.

7.3 Ownership of Output, and your rights to use Output, are governed by the applicable Model Provider’s terms. DogRouter makes no representation as to the ownership or registrability of Output and disclaims any warranty that Output is free of third-party intellectual property rights.

7.4 You represent and warrant that you have all necessary rights and consents to submit Your Content to the Service and to the applicable Model Providers.

8. DogRouter Intellectual Property

8.1 The Service, including its software, branding, the “DogRouter” name and logo, documentation, and all related intellectual property (excluding Your Content, Output, and the Models themselves), is owned by LIGHTING TECH PTE. LTD. or its licensors. Subject to your compliance with these Terms, DogRouter grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes.

8.2 You grant DogRouter a perpetual, irrevocable, royalty-free license to use any feedback or suggestions you provide regarding the Service, without restriction or compensation.

9. Confidentiality

Each party agrees to use the other party’s non-public information disclosed in connection with the Service solely to perform its obligations or exercise its rights under these Terms, and not to disclose such information to third parties except as required by law or to professional advisors under confidentiality obligations.

10. Privacy

LIGHTING TECH PTE. LTD.’s collection and use of personal data in connection with the Service is described in the DogRouter Privacy Policy, available at dogrouter.ai/privacy, which is incorporated into these Terms by reference.

11. Service Availability and Changes

11.1 DogRouter will use commercially reasonable efforts to make the Service available, but does not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, Model Provider outages, or circumstances beyond DogRouter’s reasonable control.

11.2 DogRouter may modify, suspend, or discontinue any part of the Service, including specific Models, at any time, with notice where reasonably practicable.

12. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. DOGROUTER DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR SAFETY OF ANY OUTPUT GENERATED BY A MODEL.

13. Limitation of Liability

13.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOGROUTER’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO DOGROUTER IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.

13.3 The limitations in this Section 13 do not apply to (a) your indemnification obligations under Section 14, (b) your breach of Section 5 (Acceptable Use), or (c) liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless LIGHTING TECH PTE. LTD. (trading as DogRouter), its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to (a) Your Content or Output you generate, publish, or otherwise use; (b) your breach of these Terms, including the Acceptable Use Policy; or (c) your violation of any applicable law or third-party right.

15. Export Control and Sanctions

You represent that you are not located in, organized under the laws of, or ordinarily resident in, a country or region subject to comprehensive trade sanctions, and that you are not a person designated on any applicable restricted-party list. You agree to comply with all applicable export control and economic sanctions laws in your use of the Service.

16. Term, Suspension, and Termination

16.1 These Terms remain in effect until terminated. You may terminate your account at any time by ceasing use of the Service and closing your account through the dashboard or by written notice.

16.2 DogRouter may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required by law, or if DogRouter reasonably believes such action is necessary to protect the Service, other Users, or third parties.

16.3 Upon termination, your right to use the Service ceases immediately. For thirty (30) days following termination (other than termination for fraud, illegal use, or breach of Section 5.1(a)), DogRouter will, upon written request, make available for export your account usage records and any Your Content stored by DogRouter, after which DogRouter may delete such data in accordance with the Privacy Policy.

16.4 Sections 7.3, 8, 9, 12, 13, 14, 17, and 19 survive termination.

17. Governing Law and Dispute Resolution

17.1 These Terms are governed by Singapore law, without regard to conflict of laws principles.

17.2 Any dispute, controversy, or claim arising out of or relating to these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (“HKIAC”) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The tribunal shall consist of one (1) arbitrator. The arbitration shall be conducted in English.

17.3 Each party shall bear its own legal costs, and the costs of arbitration shall be allocated by the tribunal in accordance with the rules of the Arbitral Institution. There is no right to participate in a class, collective, or representative proceeding, to the extent permitted by applicable law.

18. Changes to These Terms

DogRouter may update these Terms from time to time. Material changes will be notified by posting the updated Terms on the Service and updating the “Last Updated” date, or by direct notice for material adverse changes. Continued use of the Service after the effective date of any update constitutes acceptance of the updated Terms.

19. General

19.1 Entire Agreement. These Terms, together with the Privacy Policy and any order forms or addenda referencing these Terms, constitute the entire agreement between you and LIGHTING TECH PTE. LTD. regarding the Service.

19.2 Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

19.3 No Waiver. No failure or delay by either party in exercising any right under these Terms will operate as a waiver of that right.

19.4 Assignment. You may not assign these Terms without LIGHTING TECH PTE. LTD.’s prior written consent. LIGHTING TECH PTE. LTD. may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.

19.5 Force Majeure. Neither party will be liable for delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, internet or telecommunications failures, or Model Provider outages.

19.6 Independent Contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
